KNDSandELBITare defence companies which, among other projects, have jointly developed the EuroPULS rocket artillery system. The planned joint venture EuroPULS is intended to market this system as an integrated system and, using the resources of its parent companies, provide through-life services, including spare parts supply and maintenance. The standalone sale of subsystems is not included in the scope of EuroPULS. It also does not have its own research and development department or production facility. All systems sold will be supplied by the shareholdersKNDSandELBIT. Andreas Mundt, President of theBundeskartellamt:“The planned joint venture between KNDS and ELBIT does not raise any competition concerns, as the companies are not in close competition with one another in this field, but rather are combining complementary capabilities. In addition, there are strong competitors offering a comparable range of products and services. The cooperation is more likely to stimulate competition by creating a strong counterbalance to other manufacturers’ offerings.” Projects of this scale are typically subject to notification to the European Commission. In this case, theBundeskartellamtwas responsible for examining the project, as the EuroPULS joint venture, given in particular its limited scope of activities, does not perform, on a lasting basis, all the functions of autonomous economic entities and therefore does not fall within the scope of the European Community Merger Regulation.
