INFORMATIONAL ENGLISH TRANSLATION General Provisions Whenever these Conditions refer to grain, this means all types of grain, including Corn/Maize. Only grain meeting the following requirements will be accepted: Good, sound, dry, unwetted goods of customary merchantable quality, cleaned and substantially free from dust, screenings/aspiration residues and live grain pests. Only grain specifying the relevant NUTS region may be delivered. Delivery of grain using stand- ard or individual values is permitted only following written confirmation by the Buyer. The Seller warrants that the grain may be marketed in Germany without restriction, complies with the applicable national and European legal provisions and with the rules and guidelines of au- thorities, employers’ liability insurance associations and professional bodies, and has been pro- duced in accordance with good agricultural practice. The Seller further warrants that the grain does not originate from fields fertilised with sewage sludge.

The grain is not subject to requirements concerning the authorisation, labelling or traceability of genetically modified feed under Regulations (EC) No 1829/2003 and (EC) No 1830/2003 or the German EC Genetic Engineering Implementation Act (EGGenTDurchfG). The grain has not been irradiated. The maximum residue levels (MRLs) laid down in Regulation (EC) No 396/2005, as amended from time to time, are not exceeded. The maximum levels laid down in Directive 2002/32/EC are likewise not exceeded, and the guidance values for the presence of mycotoxins in animal feed set out in Commission Recommendation 2006/576/EC are complied with unless different limits have been agreed. The grain has not undergone direct drying and contains no preservatives. Any post-harvest chemical treatment undertaken to preserve the condition of the grain, for exam- ple for storage protection, including treatment of only part of a lot, must be disclosed in writing to the Buyer and the consignee.

The grain is free from material defects and defects in title and, in particular, possesses the char- acteristics required by these Purchasing and Acceptance Conditions and by the Product Specifi- cations and Quality section.

Certifications At the time of delivery, the Supplier shall hold valid GMP+ certification, and the goods shall com- ply with GMP+ requirements concerning quality and transport. Before delivery, the Supplier must submit the corresponding certificate. The Supplier may alternatively submit another certification equivalent to GMP+ status. As the goods are used, among other purposes, for the production of biofuel, both the Seller and the goods delivered must, at the time of delivery, hold certification under an EU-recognised sus- tainability scheme implementing the requirements of the revised Directive (EU) 2018/2001 [RED III, also referred to as Renewable Energy Directive III, as amended from time to time].

HRB 214492 www.cropenergies.com 08.2025 Copies of all relevant valid certificates covering the agreed delivery period must be submitted to the Buyer before deliveries begin. If a certificate is withdrawn from the Seller, the Seller must notify the Buyer without delay and shall not be entitled to make deliveries for the duration of the withdrawal. The Seller shall be liable in damages for all resulting consequences and costs. The Seller may also be held liable in damages if, after delivery, the grain delivered is found not to be sustainable or not to meet GMP+ requirements.

The Buyer, CropEnergies Bioethanol GmbH, is registered in the UDB under NTR number DE813755641.

Delivery and Acceptance As a rule, deliveries shall be made to the CropEnergies Bioethanol GmbH (CEB) plant in Zeitz (Albrechtstraße 54 | 06712 Zeitz). In exceptional cases, the Buyer may direct delivery to another warehouse within a radius of 10 kilometres of the original storage location. Unless otherwise agreed, the contract quantity shall be delivered in approximately equal instalments over the agreed delivery period. Deliveries to the Buyer are possible only using the myleo/dsc system described in greater detail in the following paragraph.

  • myleo/dsc To book deliveries, the Seller is required to use the internet-based myleo/dsc system.

When making a booking in myleo/dsc, the Seller must provide the following information: • The VAT identification number is mandatory when booking or tendering deliveries. This binding information will be taken into account when the credit note is issued. Sellers with several VAT identification numbers must ensure that the correct data are provided when booking or tendering. • Crop year in accordance with the EU grain marketing year rules. • Country of cultivation and country of origin (the final storage location before delivery to CEB). • Regional NUTS 2 Sustainability Value. • If incorrect information necessitates an amendment after delivery, we reserve the right to charge an administrative fee of €35 per transaction. After delivery, the quantities and analysis results determined upon delivery are available to the Seller in the myleo/dsc system.

  • Delivery by Truck (Call-Off) The Seller will be allocated the weekly call-off quantity. Booking in the myleo/dsc system will then be possible. The Seller is solely responsible for booking and complying with the binding delivery dates. The booked delivery dates shall constitute a fixed-date transaction within the meaning of the Standard Terms and Conditions in the German Grain Trade. If these delivery dates are not met without prior written coordination, the Seller shall automatically be in default. In all cases, the Seller must inform the plant’s logistics department if delivery dates cannot be met or need to be postponed. Upon delivery and before the vehicle is sampled, every Seller must submit a properly completed delivery note that enables clear traceability of the goods.

HRB 214492 www.cropenergies.com 08.2025 Deliveries may be made only using articulated trucks with rear-tipping trailers. Compliance with GMP+ requirements relating to transport and product quality is regularly checked at the delivery location. Persons entering or driving onto the plant premises must comply with the safety and hygiene rules and with instructions issued by plant personnel. The rules are available for inspection at the plant gate. Truck acceptance times for the individual types of goods are determined by the quantity release entered by the Buyer in myleo/dsc. Demurrage will be granted only where the Buyer is responsible through fault for a delay in ac- ceptance and the Seller arrived within the originally booked myleo/dsc time slot.

  • Delivery by Rail Railway station number: 80236091 Rail deliveries must be coordinated with the Zeitz logistics department by the 15th day of the month preceding delivery and require written confirmation. Following written confirmation, the date shall constitute a fixed-date transaction within the meaning of the Standard Terms and Con- ditions in the German Grain Trade. The Seller will be offered no more than three alternative delivery dates within the relevant delivery period. If no agreement is reached, the Buyer shall have the rights arising from non-performance under the Standard Terms and Conditions. For rail deliveries, the Zeitz logistics department will make the booking in the myleo/dsc system. For contractual reasons, coordination must take place between the Buyer and the Seller. Contact by third parties is for information purposes only and has no contractual effect. The Seller must send a delivery notification to the Zeitz logistics department in good time—pref- erably immediately after the train has been loaded; for weekend arrivals no later than Friday at 12:00; and for trains arriving Monday to Friday no later than 12:00 on the preceding day—to- gether with the wagon list, contract number, crop year and country of cultivation, VAT number, and sustainability and traceability information. Before the train is unloaded, the Seller must submit a loading sample or quality certificate. For maize deliveries, a certificate must always be submitted showing, in addition to the information required by law and GMP+ (for example Aflatoxin B1), the levels of the mycotoxins DON and ZEA. In exceptional cases, a loading sample may be provided sufficiently in advance of the planned unloading. The following applies to all grain types: if elevated levels of undesirable substances, such as mycotoxins or heavy metals, are detected in a region or country, a quality certificate covering those substances must also be submitted before unloading. If the required documents or samples are not available before the train is unloaded, the Buyer reserves the right not to unload the train. All resulting consequences and costs shall be borne by the Seller. After the train has been completely unloaded, the Seller will receive a binding statement of the quantities and qualities unloaded. This statement shall form the basis for issuing the credit note. Wagons that cannot be opened using standard tools and reasonable force, whose condition is unsuitable for proper use, or whose permanently attached operating levers for opening the un- loading equipment do not function, will not be unloaded. All resulting consequences and costs shall be borne by the Seller.
