White & Case advises Grupa Kęty on acquisition of Metra group from KPS Capital Partners

Global law firm White & Case LLP has advised Grupa Kęty S.A., a Warsaw Stock Exchange-listed Polish industrial group operating in global aluminium extrusion and manufacturing, on the signing of an agreement to acquire the Metra group from affiliates of KPS Capital Partners, at an enterprise value of €645 million.

The transaction represents the largest acquisition in Grupa Kęty’s history and is expected to be one of the largest international acquisition made by a Polish company.

White & Case also advised Grupa Kęty on entering into a term credit facility agreement with Bank Polska Kasa Opieki S.A. for a maximum amount of PLN 2 billion in connection with the financing of the transaction.

Founded in 1953 in Poland, Grupa Kęty is a leading producer of aluminum profiles and components across a variety of applications, including facade systems, doors and windows, internal structures, external aluminum roller shutters and roller gates for construction markets. Grupa Kęty’s shares have been listed on the Warsaw Stock Exchange since 1996.

Headquartered in Rodengo-Saiano, Italy, Metra is a global, vertically integrated manufacturer of aluminum profiles, including advanced railway solutions and architectural systems. It operates nine production plants across Italy, the US and Canada.

The transaction is subject to customary conditions precedent, including the obtaining of the mandatory consents of the anti-monopoly authorities and other regulatory authorities.
